Please read these Terms of Service carefully. They form a legally binding contract between you (the "User", "you", "your") and IFTS IT Solutions Pvt. Ltd. ("Company", "we", "us", "our"), the owner and operator of the Fortax platform available at https://fortax.in and its associated sub-domains, mobile applications, APIs, WhatsApp channels, AI assistants and hardware accessories (collectively, the "Services"). By creating an account, accessing, browsing or using any part of the Services, you confirm that you have read, understood and agreed to be bound by these Terms, our Privacy Policy, and any plan-specific or order-specific documents referenced here. If you do not agree, you must stop using the Services immediately.

1. Definitions

"Platform" means the Fortax web application, dashboards, mobile apps, browser extensions, WhatsApp interfaces and any successor interfaces.
"Account" means the registered profile through which you access the Services.
"User Content" means all data you submit or generate on the Platform, including invoices, ledgers, inventory records, GSTIN details, documents, contact lists, message templates and chat inputs.
"AI Output" means any answer, summary, calculation, draft, classification, recommendation or generated document produced by Fortax SAI or any other AI feature.
"Subscription" means a paid or free plan under which the Services are made available for a defined period.
"Government Portals" means GSTN, Income Tax e-filing, TRACES, MCA21, and any other statutory or regulatory system we connect with.

2. Eligibility and acceptance

You may use the Services only if you are at least 18 years of age and competent to contract under the Indian Contract Act, 1872. If you are accepting these Terms on behalf of a company, firm, LLP, trust or other entity, you represent that you are duly authorised to bind that entity, and "you" refers to that entity. The Services are designed for Indian businesses, professionals and tax practitioners, and are offered from India. You are responsible for compliance with any local laws applicable to you if you access the Services from outside India.

3. Your account

You agree to provide accurate, current and complete information at registration and to keep it updated. You are solely responsible for all activity that occurs under your Account, including activity by your employees, accountants, consultants or invited team members. You must keep your password, OTPs, API keys, webhook secrets and any Government Portal credentials confidential, and must notify us at hola@fortax.in immediately on discovering any unauthorised access. We may refuse, suspend or reclaim any username, workspace name or sub-domain at our discretion.

4. Scope of the Services

Fortax provides software that helps you record transactions, generate invoices, track inventory and expenses, compute indicative tax positions, prepare and where enabled submit statutory returns, receive deadline reminders, communicate over WhatsApp, and obtain AI assistance on Indian tax and compliance topics. Certain features, including NFC compliance cards, API access, white-labelling, WhatsApp automation and CA marketplace access, are available only on specific plans or under separate written orders. We may add, modify, restrict or discontinue any feature, and we will make reasonable efforts to notify you of material changes that adversely affect a paid feature you are actively using.

5. Not professional advice

Fortax is a technology platform, not a chartered accountancy firm, law firm or tax authority, and no part of the Services creates a professional client relationship with us. All computations, alerts, AI Output and templates are provided for convenience and general information only. They may be incomplete, out of date, or inapplicable to your facts. You remain fully and solely responsible for the correctness of every return, declaration, invoice, e-way bill and disclosure filed by you or on your behalf, and for meeting every statutory obligation on time. Before acting on anything produced by the Services, you should verify it against the current law and, where the amounts or consequences are significant, obtain advice from a qualified professional. Where you engage a chartered accountant or other professional listed on our marketplace, that engagement is directly between you and the professional; we are not a party to it and do not supervise, endorse or guarantee their work.

6. Artificial intelligence features

Fortax SAI and related AI features are powered by a combination of proprietary logic and third-party large language models. AI systems can produce output that is inaccurate, incomplete or confidently wrong, including incorrect rates, thresholds, due dates, form numbers and citations. AI Output is not a filing, not certified, and not a substitute for professional judgement. You must review AI Output before relying on it. Do not input data you are not permitted to share. We may impose usage limits on AI features, may log prompts and outputs for abuse prevention, quality and safety purposes, and may use aggregated and de-identified interaction data to improve the Services, as described in our Privacy Policy. You must not use AI features to build a competing model, to generate unlawful content, or to attempt to extract system prompts, credentials or other users' data.

7. Government portal integrations

Where you authorise Fortax to connect with Government Portals, you confirm that you are lawfully entitled to grant that authorisation and to use the credentials supplied. You authorise us and our integration partners to access, retrieve and submit data on your behalf strictly to deliver the Services you have requested. Government Portals are controlled entirely by the relevant authorities. Downtime, rate limiting, schema changes, rejected submissions, portal errors and policy changes are outside our control, and we are not responsible for consequences arising from them, including late filing fees, interest or penalties. You must independently confirm on the relevant portal that any filing you initiated through Fortax has in fact been accepted.

8. WhatsApp and messaging

If you use WhatsApp or other messaging features, you must comply with the WhatsApp Business Messaging Policy, Meta's platform terms, TRAI regulations on commercial communication, and all applicable consent and do-not-disturb requirements. You represent that you hold valid, demonstrable consent from every recipient you message through the Platform. You are solely responsible for message content, template approvals, opt-out handling and the maintenance of your contact lists. We may suspend messaging features without notice if we receive credible complaints, if quality ratings fall, or if a platform partner requires it. Suspension or termination of your access by Meta or any messaging partner is not attributable to us.

9. Hardware and NFC compliance card

Where you purchase an NFC compliance card or other hardware, title passes on full payment and risk passes on delivery. Hardware carries only the warranty stated at the time of purchase and is not covered by any software service level. Cards are personal to the business they are issued to, must not be cloned, resold or tampered with, and may be deactivated if the linked Subscription lapses or if misuse is detected.

10. Plans, fees and taxes

Prices, inclusions and limits for each plan are those displayed on the Platform or set out in your order form at the time of purchase. All fees are quoted in Indian Rupees and are exclusive of GST and other applicable taxes, which will be charged additionally at prevailing rates. Subscriptions renew automatically for successive periods at the then current price unless cancelled before the renewal date. You authorise us and our payment gateways to charge your saved payment method for renewals and for any usage that exceeds plan limits. We may revise prices with prior notice, and revised prices apply from your next renewal. Bank charges, gateway fees, currency conversion costs and taxes deducted at source are borne by you, and any tax deducted must be supported by a valid certificate.

11. Free plans, trials and credits

Free plans, trial periods, promotional credits and beta features are offered as is, may be limited in capacity, and may be modified or withdrawn at any time. Beta features may be unstable and are excluded from every warranty and service commitment in these Terms. At the end of a trial, your Account converts to the plan you selected unless you cancel first.

12. Cancellation and refunds

You may cancel a Subscription at any time from your billing settings, and cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where our published refund policy expressly provides otherwise, where a duplicate or erroneous charge has occurred, or where a refund is required by law. Amounts paid for hardware, government fees, statutory charges, third-party pass-through costs and professional services rendered are not refundable. Approved refunds are processed to the original payment method within the timelines of the relevant payment provider. Non-payment or a failed charge may result in suspension of access after reasonable notice.

13. Acceptable use

You agree that you will not, and will not permit any person to:

a. use the Services for any unlawful purpose, including tax evasion, generation of false or fictitious invoices, circular trading, money laundering, or any attempt to claim ineligible input tax credit;
b. upload content that infringes intellectual property, violates privacy, or contains malware;
c. access or attempt to access another user's data, workspace or Account;
d. probe, scan, penetration test, overload, scrape or reverse engineer any part of the Services without our prior written consent;
e. resell, sublicense, white-label or provide the Services to third parties except under a plan that expressly permits it;
f. circumvent usage limits, rate limits, paywalls or authentication;
g. remove, obscure or alter any proprietary notice; or
h. use the Services to develop a competing product or to benchmark for public disclosure without our written permission.

We may investigate suspected violations, cooperate with law enforcement, and suspend or terminate access where required to protect the Platform, other users or ourselves.

14. API and fair use

API access is subject to documented rate limits and to any quota stated in your plan. We may throttle, cache, or temporarily block calls that threaten platform stability. API keys are confidential; you are responsible for all calls made with your keys. We may version, deprecate or change APIs, and we will make reasonable efforts to give advance notice of breaking changes to paid API customers. Webhook payloads are signed, and you must verify signatures before acting on them.

15. Your content and licence to us

You retain all ownership of your User Content. You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, transmit, reproduce, process, display and adapt your User Content solely to the extent necessary to operate, secure, support and improve the Services for you, and to comply with law. You represent that you have all rights and consents necessary to submit your User Content, including consent from your customers, employees and contacts whose personal data you upload. Where we process personal data on your behalf, we do so as a processor acting on your instructions, and you act as the data fiduciary in respect of that data.

16. Intellectual property

The Services, including all software, source code, AI models and prompts, workflows, compliance logic, scoring methodologies, NFC card design, documentation, user interfaces, trade marks, logos and the Fortax and Fortax SAI brands, are and remain the exclusive property of IFTS IT Solutions Pvt. Ltd. and its licensors, and are protected by Indian and international intellectual property law. Applied and granted patents cover core innovations of the Platform. Subject to these Terms and to payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for your internal business purposes only. No other right or licence is granted, whether by implication or otherwise. Feedback you share may be used by us without restriction or obligation.

17. Confidentiality

Each party may receive non-public information from the other. The receiving party will protect it with at least reasonable care, use it only to perform under these Terms, and not disclose it to third parties except to employees, affiliates, advisers and subcontractors bound by comparable obligations, or where disclosure is required by law or a competent authority.

18. Third-party services

The Services interoperate with third parties including Government Portals, Meta and WhatsApp, payment gateways, cloud infrastructure providers, communication providers and AI model providers. Your use of a third-party service is governed by that provider's own terms and privacy policy. We do not control and are not responsible for third-party availability, accuracy, pricing, or acts and omissions. Links to third-party sites are provided for convenience and are not an endorsement.

19. Availability and support

We aim to keep the Platform highly available but do not warrant uninterrupted or error-free operation. Planned maintenance will be notified where practicable. Any service credit or uptime commitment applies only if it is expressly stated in a signed order form or enterprise agreement. Support is delivered by email and in-app channels during business hours, with response targets depending on your plan. Support does not include tax opinions, representation before authorities, or bookkeeping performed on your behalf unless separately contracted.

20. Suspension and termination

We may suspend or terminate your access, in whole or in part, with immediate effect where you materially breach these Terms, where non-payment persists after notice, where continued access poses a security, legal or reputational risk, or where required by a regulator, court or platform partner. You may terminate at any time by cancelling your Subscription and ceasing to use the Services. On termination, your right to use the Services ends immediately. You may export your data before the end of the retention window described in our Privacy Policy, after which we may delete or anonymise data subject to statutory retention requirements. Accrued payment obligations, and the clauses on intellectual property, confidentiality, disclaimers, liability, indemnity and governing law, survive termination.

21. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and quiet enjoyment. We do not warrant that the Services will meet your requirements, that filings will be accepted, that AI Output will be accurate, or that defects will be corrected.

22. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, anticipated savings or data, however caused. Our aggregate liability arising out of or relating to the Services, whether in contract, tort, statute or otherwise, will not exceed the total fees actually paid by you to us for the Services in the twelve months immediately preceding the event giving rise to the claim. Without limiting the above, we are not liable for tax, interest, penalties, late fees, notices, prosecutions or losses arising from incorrect, incomplete or late data supplied by you, from your failure to verify AI Output or filings, from Government Portal behaviour, or from third-party service failures. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or wilful misconduct.

23. Indemnity

You agree to indemnify, defend and hold harmless IFTS IT Solutions Pvt. Ltd., its directors, officers, employees and partners from and against all claims, demands, proceedings, losses, damages, penalties and reasonable legal costs arising out of or connected with your User Content, your breach of these Terms or of applicable law, your messaging activity, your filings, or your infringement of any third-party right.

24. Force majeure

Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, war, civil unrest, strikes, changes in law, government or regulatory action, failure of Government Portals, internet or power outages, cyber attacks, and failures of cloud or telecom providers. Payment obligations already accrued are not excused.

25. Governing law, dispute resolution and jurisdiction

These Terms are governed by the laws of India without regard to conflict of law principles. The parties will first attempt to resolve any dispute amicably through discussion within thirty days of written notice. Failing resolution, the dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Lucknow, Uttar Pradesh, and the proceedings will be conducted in English. Subject to the arbitration clause, the courts at Lucknow, Uttar Pradesh have exclusive jurisdiction.

26. Changes to these Terms

We may update these Terms from time to time to reflect changes in the Services, our business or the law. The updated version will be posted here with a revised "last updated" date, and material changes will be notified by email or in-app notice before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

27. General

These Terms, together with the Privacy Policy and any order form, constitute the entire agreement between the parties on this subject and supersede all prior understandings. If any provision is held invalid or unenforceable, the remaining provisions continue in full force and the invalid provision will be replaced by one that most closely reflects the original intent. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, reorganisation or sale of assets. Nothing here creates a partnership, joint venture, agency or employment relationship. Notices to you may be sent to the email registered on your Account. Headings are for convenience only.

28. Grievance redressal

In accordance with the Information Technology Act, 2000 and the rules made under it, and with applicable consumer protection rules, complaints regarding the Services or any content on the Platform may be sent to our Grievance Officer at hola@fortax.in, with the subject line "Grievance". Please include your registered email, a description of the issue, and supporting documents. We will acknowledge within 48 hours and endeavour to resolve within 30 days.
